Objective of Bogra Club Limited

Objective of BOGRA CLUB LIMITED

1.To provide opportunities of recreation for the members of the club and to provide ,maintain and manage a Clubhouse (The term “Clubhouse” shall hereafter refer to any premises and/or grounds, rented by or on behalf of the Club or premises and or grounds purchased by or on behalf of the Club) and premises for the accommodation of members of the Club and their friends ,family members and guests and to establish, maintain and conduct a Club for the accommodation of the members with all privileges, advantages, conveniences and accommodation of a social, sports and literary Club.

2. To purchase, take on lease or in exchange, hire, acquire absolutely or otherwise, any movable and immovable property, rights, privileges, concessions and easements and in particular any lands, buildings, furniture, Club and household effect, utensils, books, newspapers, periodicals, musical and other fittings, news-appliances, conveniences, accommodation and effects as may be necessary or expedient and to improve, manage, develop and prepare lands for playing tennis, football, cricket, hockey, basketball, squash, athletics & sports, billiard, rowing, health Club, table tennis, cards, chess and other indoor and outdoor games of all and every description and to construct all such buildings, stands, appliances arrangements, fixtures and effects required for the same whether of a permanent, semi-permanent or temporary nature, which may directly or indirectly be conducive to the Clubs objects.

3. To invest and deal in the money of the Club not immediately required upon such securities and in such manner as may from time to time be determined and to make, accept, endorse, execute and issue promissory notes, bills of exchange, debentures and other negotiable or transferable instruments and to enter into any arrangements with any authorities, Municipal, local or others, company, syndicate, trust, firm, person or committee that may seem conducive to the Clubs objects or any of them and to obtain or acquire such rights, privileges, concessions which the Club may think desirable and to carry out, exercise and comply with any such rights, concessions and privileges and to carry on the business of a co-operative store in all its branches, and in particular.

4. The club is a non-profit making and non-profit distributing. No dividends should be paid to members. All profits and surpluses from its playing activities must be used to maintain or improve the related facilities or for the purposes of a non-profit making body and to do all or any of the above things through trustees, agents or other-wise and either alone or in conjunction with others and to remunerate any person or company for services rendered or to be rendered to the club and in particular in placing or assisting to place or guaranteeing the placing of any debentures or other securities of the Club and to buy and deal all kinds of soft drinks, goods, stores consumable and other articles, chattels, and effect of all kinds, both wholesale and retail, and for this purpose to apply for and obtain all such licenses as may be necessary.

5. Minimum thirty (30%) of Club’s fund will be used for the purpose of religious activities, education for poor people, plantation, training to create skilled human resources in different fields, create awareness against HIVAIDS, Climate Change, Mass and General Education, all types of natural catastrophe etc. helping widow and all other social service sand the event of the disbandment of the club the available assets to be distributed to a similarly oriented body or club and IT IS HEREBY DECLARED that the objects set forth in any sub-clause of this clause shall not, except where the context expressly so requires, be in any way limited or restricted by reference to or inference from the term of any other sub-clause or by the name of the Club.

6. To make regular arrangements for organizing and holding discussion meetings, seminars, symposia, etc. with national and international celebrities for exchange of views for the overall growth and development of the organization in particular and to organize social, national, cultural and entertainment programs for the members and their family members.

7. The income and property of the Club, howsoever, derived, shall be applied solely towards the promotion of the objects of the Club as set forth in this Memorandum of the Club and no portion thereof shall be paid or transferred, directly or indirectly, by way of dividend or bonus or otherwise by way of profit to the persons who at any time are or have been Members of the Club or to any of them or to any person claiming through any of them.Provided that nothing herein contained shall prevent in good faith of remuneration to any officer or employee of the Company or to any member thereof or to any other person in return for any service actually rendered to the Club or the payment of interest on money borrowed from any member of the Club.

8. To borrow or raise money or secure the payment of money on such term as the company may consider expedient, including by issue or sale of shares, stock, bonds, debentures, other securities and obligations, perpetual or terminable and or redeemable or otherwise and to secure the same by mortgage, charge or lien on the undertaking and all or any of the real and personal property and assets, present or future and all or any of the uncalled capital for the time being of the company, any to issue and create at par or at a premium per discount, and for such consideration and win and subject to such rights, power, privileges and conditions as may be thought fit, mortgage, charges, memoranda or deposit, debentures or debenture stock, either permanent or redeemable or repayable, and collaterally or future to secure any securities of the company by a trust deed or other assurance.

9. To mortgage the property and assets of the company as securities for loans and/or any credit facilities to be given to any associate company or companies or third party and also to give guarantee securing liabilities of such associate company or companies and/or third party.

10. This company can do any lawful business for making profit.
